Application Programming Interface (“API”) Terms and Conditions of Use (“API terms”, or “terms”) is a binding agreement between National Digital Asset Exchange Inc. (“NDAX”, “we”, “us”) and the User (“User”). The following terms shall govern the User’s use of API and relationship with NDAX.

To be able to use NDAX’s content and API the User must open an account with NDAX. To open an account with us, we will require some personal information from the User. All personal information collected will be used and stored in accordance with our Privacy Policy.

An NDAX account will only be opened for Canadian persons. If the User is an individual representing an entity, the User must prove they have the appropriate authority to open an account and accept these API terms on behalf of the said entity. If the User disagrees with any of these terms, they may not access or use the NDAX API, the data or any services provided by NDAX.

By opening an account with us and using services provided by NDAX the User expressly acknowledges they have read the API terms and understand the rights, obligations, terms and conditions set forth herein. By accepting these terms, the User agrees to enter into a legally binding agreement with NDAX.

Subject to the User’s strict adherence to the terms and conditions outlined in these API terms, NDAX grants you a limited, non-transferable, non-exclusive, non-assignable and revocable right to use.

NDAX reserves the right, at its sole discretion, to modify, change, or delete API content at any time without notice. If major modifications are performed, NDAX will notify all Users, at the sole discretion of NDAX.

Upon sign up, the User will be provided with the API credentials, which will be in the form of a secure electronic key provided by NDAX. The User shall not share the API key with any third party and shall keep the API key safe and secure. NDAX reserves the right to issue a new API key to the User from time to time and suspend any existing key at its sole discretion.

The User must use appropriate technical and organizational security measures to prevent unauthorized access or disclosure of data. The User is required to immediately report any security flaws in the API and any actual or suspected unauthorized access to the API.

The User may not copy, rent, lease, sell, transfer, assign, sublicense, interfere with, modify or disable any features, functionality or security controls of the API. The User can not reverse engineer, decompile, disassemble or derive source code, underlying ideas, algorithms or structure from the API.

NDAX shall own and retain all right, title and interest to the API and all content on the https://NDAX.io website and the User hereby recognizes and acknowledges such ownership by NDAX.

In the event of any breach of these terms and conditions or unauthorized use of the API is committed by the User and/or the User’s authorized personnel or others with access to the API key, the User shall be liable for such breach or disclosure.

NDAX reserves the right, in its sole discretion to modify API terms at any time and without prior notice. Users are responsible for reviewing and becoming familiar with any modifications. The User’s continued use of NDAX API after the effective date of such changes will constitute acceptance of, and agreement to, any such changes. If the User does not agree with any such changes, or to any of the API terms, the User’s only remedy is to discontinue use of the NDAX API. NDAX reserves the right, in its sole discretion (for any reason) and at any time without notice or liability, to change, suspend, or discontinue the API.
